Any unauthorized use of any GetCoolVideo Content violates such laws and this Terms of Use. Except as expressly provided herein or in a separate license agreement between you and GetCoolVideo, GetCoolVideo does not grant any express or implied permission to use the Site or any GetCoolVideo Content. You agree not to copy, republish, frame, link to, download, transmit, modify, adapt, create derivative works based on, rent, lease, loan, sell, assign, distribute, display, perform, license, sublicense or reverse engineer the Site or any GetCoolVideo Content. In addition, you agree not to use any data mining, robots or similar data and/or image gathering and extraction methods in connection with the Site or GetCoolVideo Content.

Unless you enter into a license agreement with GetCoolVideo, you may not download, distribute, display and/or copy any GetCoolVideo Content.

You may not remove any watermarks or copyright notices contained in the GetCoolVideo Content.

By mutual consent, whether through verbal or written agreement, when users submit content to the Site, they are granting GetCoolVideo a non-exclusive, royalty-free, worldwide license. This license permits GetCoolVideo to use, repurpose, and distribute the submitted content on the platform.

7. Violating any law, statute, or regulation.

Your Content

For any RAW image, footage, text, audio, or any other content that you upload or post to the Site (“Your Content”), you represent and warrant that: (i) you have all necessary rights to submit Your Content to the Site and grant the licenses set forth herein; (ii) GetCoolVideo will not need to obtain licenses from any third party or pay royalties to any third party with respect to Your Content; (iii) Your Content does not infringe any third party's rights, including intellectual property rights and privacy rights; and (iv) Your Content complies with these Terms of Use and all applicable laws. By uploading Your RAW Content, you grant GetCoolVideo a limited, worldwide, non-exclusive, royalty-free license and right to copy, transmit, distribute, publicly perform and display (through all media now known or hereafter created), and make derivative works from Your Content for the purpose of allowing you to edit and display Your Content using the Site and archiving or preserving Your Content for disputes, legal proceedings, or investigations.

The above licenses will continue unless and until you remove Your Content from the Site, in which case the licenses will terminate within a commercially reasonable period of time. Notwithstanding the foregoing, the license for legal archival/preservation purposes will continue indefinitely.

You may not upload, post, or transmit any video, image, text, audio recording, or other content that is dangerous, or disrespectful, including:

1. Infringing any third party's copyrights or other intellectual property rights or any right of publicity or privacy;

2. Containing any pornographic, defamatory, or otherwise unlawful or immoral content;

3. Exploiting minors;

4. Depicting unlawful or violent acts;

5. Depicting animal cruelty or violence towards animals;

6. Promoting fraudulent schemes or giving rise to a claim of deceptive advertising or unfair competition; or

7. Violating any law, statute, or regulation.

You may not use any GetCoolVideo Content for any purpose without first obtaining a license to use such GetCoolVideo Content. Any use of GetCoolVideo Content by you shall be governed by the applicable license agreement separately entered into between you and GetCoolVideo.

Displaying and/or distributing to the public any watermarked or unlicensed GetCoolVideo Content (whether incorporated into a derivative work or alone) constitutes copyright infringement.

GetCoolVideo Licensing Policy

1. Intellectual Property Rights:

GetCoolVideo acknowledges that the intellectual property rights of the final edited video belong to the client. This understanding is documented both in written and spoken forms at the commencement of the contract.

2. Ghost Editing and Commercial Rights:

If the client wishes to retain full intellectual rights and have GetCoolVideo act as a ghost editor, an additional fee will be agreed upon and communicated before initiating the contract. Similarly, commercial rights over the end-product are subject to extra fees, clearly outlined before contract commencement.

3. Termination and Refund Policy:

Either party has the right to terminate the contract if the other party fails to adhere to the terms and conditions. If GetCoolVideo fails to deliver the end-product according to the agreed-upon terms, a refund will be issued to the client.

4. Communication Protocols:

Communication channels for text messages (WhatsApp, Facebook Messenger, LinkedIn) will be determined by mutual agreement. Video calls will be conducted via Zoom, with the understanding that conversations will be recorded using Fathom for efficient information processing. Recordings and transcripts will be sent to the client's registered email address.

This Licensing Policy governs the use of the editing services provided by GetCoolVideo. By using our services, you agree to comply with this policy. Please read it carefully before making any purchases.

6. Credits and Pricing

Credits are the currency used for purchasing editing services at GetCoolVideo. The conversion is as follows:

1 Credit = $12

7. Editing Services Pricing

Editing services are priced based on the length of the raw video in minutes:

1 Minute Editing Work = $12

8. Purchasing Credits

To initiate the editing process for your raw video, you must purchase credits corresponding to the video's length. For instance, if your raw video is 27 minutes long, you'll need to acquire 27 credits, resulting in a total cost of $324 (27 x $12) for the editing service.

9. Payment Methods

Payments for credits and editing services can be made through PayPal. VAT is not included in the final price.

To facilitate the editing process and ensure a seamless collaboration, GetCoolVideo is committed to collecting comprehensive project details from our clients. This includes, but is not limited to, key elements of their project such as the scope, target audience, competitors, and branding guidelines, commonly referred to as project requirements. This information is vital for our team to understand the unique characteristics and objectives of each project.

11. Collaboration Assurance

In our dedication to delivering the highest quality final video possible, we go the extra mile to foster effective communication. Before the commencement of the collaboration, we prioritize a thorough understanding of the project's nuances. Therefore, we schedule a video call with our clients to discuss further details, address any queries, and ensure a shared vision for the project's success. This proactive approach allows us to align with our clients' expectations, ultimately resulting in a more refined and satisfactory end product.

13. Taxes Disclaimer

Please note that Value Added Tax (VAT) is not included in the final price. Any applicable taxes will be calculated and added during the payment process.

While there is no specific minimum amount of credits required for purchase, it is crucial to note that the success of our editing services relies on the availability of adequate data. GetCoolVideo aims to deliver high-quality results and, therefore, reserves the right to assess the feasibility of a project. We may exercise our discretion to decline and refund a purchase if there is insufficient data provided for effective editing, or if the client remains unresponsive during the collaborative process. This ensures that we maintain our commitment to delivering exceptional editing services and maintaining communication throughout the project lifecycle.

Refunds are subject to the terms outlined in our separate Refund Policy.

• Respond to queries in a timely manner, facilitating efficient communication to meet project deadlines and ensure the desired outcome.
  
• Engage collaboratively during the editing process, offering timely feedback, clarifications, and approvals to contribute to the smooth progression of the project.
  
• Make oneself reasonably available for scheduled video calls, discussions, or any other collaborative efforts essential to the project's success.
  
• Fill out the Typeform questionnaire accurately — Provide a clear and detailed project brief, including specific instructions, preferences, and any branding guidelines, to facilitate a more accurate and satisfactory editing process.
  
• Provide accurate and truthful information in responses to inquiries, questionnaires, and any other communication, ensuring the integrity of the project details.
  

Disregarding these responsibilities may lead to contract termination.

GetCoolVideo's Responsibilities:

• Deliver the end-product by the mutually agreed-upon deadline.
  
• Ensure the edited videos consistently meet high-quality standards. The number of revisions to address any client feedback will be mutually agreed upon during the collaboration rules-setting phase, ensuring that both parties have a clear understanding of the revision process within the agreed-upon scope.
  
• Respond promptly to client inquiries in accordance with the mutually agreed-upon communication protocols established during the collaboration rules-setting phase. Keep clients consistently informed about the progress of the project and proactively address any concerns that may arise during the editing process. This commitment ensures that communication aligns with the mutually established expectations for responsiveness.
  
• Maintain accurate records of project details, client preferences, and any agreed-upon modifications to ensure consistency and reference during the editing process.
  
• Clearly communicate any additional costs or fees associated with changes in the scope of work, ensuring transparency in pricing throughout the collaboration.
  
• Ensure that all editing services provided adhere to relevant copyright laws and industry regulations, and inform clients of any legal considerations related to their specific projects.
  

Miscellanous

Comprehensive Agreement:

This document serves as the comprehensive agreement between GetCoolVideo / SZEKERES LILLA PFA and the user, encompassing and superseding all preceding agreements and understandings, whether oral or written.

Governing Jurisdiction:

This agreement, along with any dispute or claim arising from or related to it, is subject to interpretation and enforcement in accordance with the laws of Romania. Both parties willingly submit to the exclusive jurisdiction of the courts in Romania.

Severability Assurance:

Should any provision within these terms and conditions be deemed invalid or unenforceable under applicable law, the said provision will be modified and construed to achieve its intended objectives to the maximum extent permitted by law. Meanwhile, the remaining provisions will persist in full force and effect.

Non-Waiver Clause:

The failure of GetCoolVideo / SZEKERES LILLA PFA to enforce any right or provision outlined in these terms and conditions does not constitute a waiver of those rights. A waiver of any right or provision is only valid if it is in writing and signed by a duly authorized representative of GetCoolVideo / SZEKERES LILLA PFA.

Users will not receive explicit notifications of changes to these terms and conditions. Continued utilization of our services following any modifications indicates acknowledgment and agreement to the revised terms.
